New Ownership Structure Emerges for TikTok’s U.S. Arm
TikTok's U.S. operations have undergone a significant restructuring in response to new U.S. legislation aimed at limiting Chinese ownership and addressing data privacy concerns. The newly established entity, TikTok USDS Joint Venture LLC, is now majority-owned by non-Chinese investors, with major stakes held by Oracle, Silver Lake, and MGX. ByteDance retains a minority interest, while other prominent global investors round out the ownership group.
Following years of legislative scrutiny and regulatory pressure in the United States, TikTok’s Chinese parent company, ByteDance, has restructured its American operations to comply with a 2024 U.S. law requiring separation from Chinese ownership. The law addresses national security concerns related to potential foreign control and access to user data.
The newly established entity, TikTok USDS Joint Venture LLC, will oversee content moderation, data protocols, software management, and the security of TikTok's core recommendation algorithm in the U.S. While the platform continues to license its underlying algorithm technology from ByteDance, the overall ownership model has shifted substantially.
Under the terms of the restructuring, ByteDance now holds just a 19.9% minority stake, while about 80% of TikTok’s U.S. business is controlled by non-Chinese investors.
A management group comprised of Oracle, Silver Lake, and MGX collectively holds 45% of the new venture’s shares, with each organization controlling a 15% stake:
Oracle: As a prominent cloud computing firm, Oracle assumes the primary security role, tasked with managing U.S. data storage, auditing compliance, and overseeing updates to TikTok’s content recommendation algorithm. The company, led by executive chairman Larry Ellison, has played a prominent part in TikTok’s U.S. operations since its initial bid for acquisition.
MGX: Based in the United Arab Emirates, MGX specializes in artificial intelligence, data centers, and semiconductors. The firm was founded by Mubadala (Abu Dhabi’s sovereign wealth fund) and Emirati AI company G42. MGX is influential in global AI investment, with a portfolio that includes stakes in OpenAI, Anthropic, and xAI, and is collaborating with Oracle on a major AI data center initiative.
Silver Lake: The U.S. private equity giant is known for its technology investments, with a history of supporting companies such as Tesla and Dell. Silver Lake brings financial and strategic guidance to the new TikTok organization and has business connections with MGX, including past partnerships and investments in AI firms.
